Key Responsibilities
- Provide comprehensive legal advice on corporate commercial matters including joint ventures, strategic partnerships, and complex contractual arrangements for multinational and local clients
- Conduct due diligence reviews for mergers, acquisitions, and divestitures, identifying legal risks and recommending mitigation strategies to protect client interests
- Draft, review, and negotiate a wide range of commercial agreements including supply contracts, service agreements, distribution agreements, and technology licensing arrangements
- Advise clients on Kenyan regulatory requirements across multiple sectors including banking regulations, telecommunications licensing, environmental compliance, and labor law
- Support corporate governance initiatives by advising boards and senior management on fiduciary duties, disclosure obligations, and best practices in corporate governance
- Collaborate with tax specialists on corporate restructuring transactions, transfer pricing arrangements, and tax-efficient investment structures
- Represent clients in regulatory investigations, enforcement proceedings, and interactions with government agencies including the Competition Authority of Kenya
- Mentor junior associates and contribute to the professional development of the legal team through training sessions and knowledge sharing
- Monitor legislative and regulatory developments affecting client industries and prepare client alerts on emerging legal requirements
- Participate in business development activities including client presentations, proposal development, and industry conference participation
Required Skills
- Exceptional analytical skills with the ability to interpret complex legal documents, identify issues, and develop practical solutions for diverse business challenges
- Strong drafting and negotiation abilities in both English and Swahili, with meticulous attention to detail in preparing legal documents and correspondence
- Excellent interpersonal and communication skills for interacting with clients, colleagues, regulators, and opposing counsel at all organizational levels
- Proven ability to manage multiple high-priority matters simultaneously while meeting tight deadlines in a demanding work environment
- Sound judgment and commercial acumen in providing pragmatic legal advice that balances risk management with business objectives
- Proficiency in legal research tools and technology platforms used for document management, contract analysis, and matter tracking
- Understanding of cross-border transaction structures and international legal frameworks relevant to Doing Business in Kenya
- Leadership capabilities with demonstrated experience in supervising junior team members and managing client relationships independently
Education
The ideal candidate must possess a Bachelor of Laws (LLB) degree from a recognized university, with strong academic credentials. Admission to the Kenya Bar as an Advocate of the High Court of Kenya is mandatory. Additional qualifications such as a Master of Laws (LLM) in Corporate Law, International Trade Law, or a related specialization will be advantageous. Membership in the Law Society of Kenya (LSK) and participation in continuing legal education programs are required to maintain professional standing and stay current with developments in Employment Law in Kenya.
Experience
Candidates must demonstrate 7-10 years of post-qualification experience in corporate commercial law, preferably gained at a reputable law firm or in-house legal department. Substantial experience in handling mergers and acquisitions, private equity transactions, banking and finance matters, or regulatory compliance work is essential. Familiarity with Kenyan regulatory frameworks administered by agencies such as the Capital Markets Authority, the Communications Authority of Kenya, and the Kenya Revenue Authority will be highly valued.
